Terms of Service
Last updated: October 17, 2026
These terms are an agreement between 16549373 Canada Inc. ("Pie", "we", "us"), Unit 134-4750 Yonge Street, North York, Ontario M2N 0J6, Canada, and the business that signs up for Pie ("you"). By creating an account or using the Service you agree to them. The Service is for businesses; it is not offered to consumers.
1. The Service
Pie is web-based back-office software for restaurants: sales and payout reporting, menu and availability management across connected platforms, recipe costing, inventory, bookkeeping helpers, order printing and gift-card / store-credit records. Features may change as we improve the Service. The Service is offered in Canada (except Quebec) and, as we expand, in the United States.
2. Your account
You are responsible for the people you invite, for keeping logins secure, and for the accuracy of what you enter. Tell us right away at [email protected] if you suspect unauthorized access.
3. Third-party platforms
Pie connects to services you choose, such as Clover, Uber Eats, DoorDash, Fantuan, HungryPanda, Google Business Profile and Plaid ("Platforms"). You authorize Pie to access them on your behalf, you confirm that you are allowed to grant that access, and you remain bound by each Platform's own terms. Platforms are run by third parties outside our control: they may change their interfaces, pages or rules, restrict, suspend or block access, or make decisions about your account at any time. We are not responsible for a Platform's availability, the accuracy or completeness of the data it provides, its fees, or its decisions about your account, and an interruption or change caused by a Platform is not a breach of these terms. Pie acts on a Platform only on your instruction or under settings you have turned on; please check the result on the Platform, and tell us if something looks wrong. You or we may disconnect any Platform at any time.
4. Connecting delivery platforms
This section applies when you connect an ordering or delivery platform such as Uber Eats or DoorDash. Those platforms require every software partner to agree to it with its customers, so here it is in plain words.
- What connecting means. When you connect a platform, you expressly authorize Pie to access and process, in your name, that platform's data about your business: your store details, menu, orders and payouts. Pie uses that data only for the features you use in Pie, and changes anything on the platform only as described in section 3.
- Platform rules apply to both of us. You stay bound by your merchant agreement with the platform and by its rules for software partners, and you agree that platform data in Pie is subject to the same limits the platform places on us. Data we receive from a platform (including a customer's name or initials, phone number, delivery notes and what they ordered) is used only to accept and print orders, to notify you, and to build your own reports. We do not use it for marketing, do not sell it, and do not combine it with data from other sources, except to show you your own figures across the platforms you have connected.
- We do not ask for your platform password. Where a platform offers an official authorization page, as Uber Eats does, the connection is made there: we will not ask you for, and do not keep, your Uber Eats login, password or access tokens. For every platform, you can disconnect at any time in Pie or from the platform's own merchant portal.
- If a platform asks us to stop. A platform may require us to delete the data it provided or to stop connecting to it. We will do what it asks and tell you.
- How long we keep platform data. We keep data received from a platform only as long as needed to provide the Service to you, and delete it under section 6 when your account ends, except records we must keep by law.
5. Money and gift cards
Pie does not process payments and never holds or transfers your funds. Gift-card and store-credit balances in Pie are records you keep for your business; you are the issuer of your gift cards and responsible for honouring them and for complying with applicable gift-card and consumer-protection laws. Pie's gift-card features are designed so that purchased cards do not expire and carry no fees.
6. Your data
Your business data belongs to you. You grant us the rights needed to host, process and display it to provide the Service. We handle personal information as described in our Privacy Policy. You can export your data at any time; after cancellation you have 30 days to export before we delete it. Gift card records are the exception: as long as any card still has a balance, we keep them read-only so you can keep honouring and exporting them, and we delete them only when you ask us in writing (except records we must keep by law).
7. Acceptable use
Don't use the Service to break the law, to access accounts you are not authorized to access, to interfere with the Service or other customers, or to resell it without our written permission.
8. Pilot, fees and cancellation
During a pilot the Service is free and no payment method is required. Paid plans, when offered, are billed monthly in advance, renew automatically and can be cancelled at any time; cancellation takes effect at the end of the current billing period and fees already paid are not refunded, except that we will credit you for a period in which the Service was unavailable through our fault. Prices exclude applicable taxes.
9. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted operation. We may update these terms; material changes will be emailed to account owners at least 30 days before they take effect.
10. Disclaimers and limitation of liability
Reports in Pie are tools to help you run your business, not accounting, tax or legal advice; please confirm figures with your own records and advisors. Figures that Pie estimates (for example an unsettled payout, or a fee worked out from a fee rate) are labelled as estimates, and if a figure differs from a statement issued by the Platform or POS itself, the Platform's or POS's statement prevails.
To the extent permitted by law, the Service is provided "as is" and "as available", without any warranty other than those expressly stated in these terms, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the extent permitted by law, our total liability for all claims arising from the Service or these terms, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose and (b) CAD $100. Neither of us is liable to the other for indirect, incidental, special or consequential losses, such as lost profits, lost business, loss of goodwill, or losses that follow from lost data, even if advised of the possibility.
These limits do not apply to a party's fraud, wilful misconduct or gross negligence, or to any liability that applicable law does not allow to be limited or excluded.
11. Ending the agreement
You may stop using the Service at any time. We may suspend or end access for a serious breach of these terms, with notice where reasonable.
12. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute.
